On Feb. 27th, 2009 Neusoft Corporation (600718. SH) announced to terminate a merger & asset restructuring plan with Dalian Hi-Think Computer Technology, Corp. (DHC) due to the reasons of DHC. The trading of Neusoft's share will be resumed on Mar. 2nd, 2009. The original announcement goes as follows:
Neusoft made an announcement on Feb. 17th, 2009 to claim that the trading of its share would be suspended from Feb. 17th, 2009, due to the uncertainties of a merger & asset restructuring plan under discussion with Dalian Hi-Think Computer Technology, Corp. ("DHC"). After that, Neusoft and DHC had gone through thorough communication, and prepared a preliminary feasibility report based upon several rounds of consultations and discussions with concerned parties.
On Feb. 27th, 2009 Neusoft received a letter from DHC claimed to cancel the Merger deal. The letter says that DHC had discussed this merger plan with its shareholders, and DHC concluded that under today's tough economic environment, there are too much uncertainties in DHC's businesses that caused difficulties to predict its future operations. For the reasons above, DHC claimed to cancel this merger plan. Thus, in compliance with the relevant rules and regulations, Neusoft has applied to resume its share trading on Mar. 2nd, 2009.
Also, Neusoft will not make any further negotiation or discussion on this merger & asset restructuring plan with DHC in the coming three months.
